Interestingly, in both cases one of the conflicts was failure to disclose concurrent representation by an advisor to the special committee. The takeaway seems to be pretty straightforward: Disclose concurrent representations for advisors.

They are both cases of (1) MFW reversal, (2) of a bench ruling, (3) because of undisclosed advisor conflicts, which (4) were not disabling conflicts, but which (5) were nevertheless were held to be material information, (6) written by Justice KLV, (7) exactly 57 pages long I felt de ja vu
