I'm reading the opinion and it says he enjoys absolute immunity regarding threats to fire the attorney general if they don't do what he wants. So, he could easily just say "investigate or prosecute my friends and you're fired" and he's 100% immune, right?

Working from home today so it's my chance to make some beef stock. First step is cook the bones and onions with some tomato paste in the oven for a few hours, then add everything to a stockpot. Now to fill with water and boil for 6-10hrs.

Interestingly, in both cases one of the conflicts was failure to disclose concurrent representation by an advisor to the special committee. The takeaway seems to be pretty straightforward: Disclose concurrent representations for advisors.

I’m a little behind on reading/summarizing cases, but it’s interesting that there were two MFW reversals by the Delaware Supreme Court in short order: Sarasota v. Inovalon (Mar. 25, 2024) Dearborn v. Brookfield (May 1, 2024) Both on disclosure grounds re: advisor conflicts

ODC finally caught on, and the Delaware Supreme Court just accepted his “voluntary surrender” of the license he apparently was never qualified to have. Also he has to clean up his website so it doesn’t say he’s admitted to the bar here (which he never was). Don’t do this, kids.

Oops. A Rhode Island lawyer applied in Delaware to be a Limited Practitioner which is limited only to people who are in-house counsel. Except he wasn’t in house counsel. His website says he “expanded his practice to Delaware in 2007… securing admission to [the] state bar[].”
