Because Disney has acquired IP's it's allowed to both of them to become morbidly obese and suffer as a result of that. If they were just left alone to operate separately, chances are they wouldn't be in such terrible shape that they're in. Because Disney's mass bleeding has caused so much damage

The narrative of Disney exerting corporate control over Marvel is laughable tbh. The 2 best-reviewed productions in Marvel Studios history released within the last 2 years ('97 & Ms. Marvel), and each of them is very obviously a product of passionate creators who love the material.
